1. Definitions
Service provider: Jeroen Vonk, operating under the trade name VINOVONK, based in Amstelveen, the Netherlands.
Client: The natural person or legal entity commissioning work from VINOVONK.
Assignment: The agreed services as described in the proposal or order confirmation. This includes, but is not limited to, writing articles, producing content, delivering podcast packages, providing wine education, and related services.
Agreement: The arrangements between client and service provider, recorded in a proposal, order confirmation, or email.
2. Applicability
These terms and conditions apply to all proposals, assignments, and agreements between VINOVONK and the client. Deviations are only valid if both parties have agreed to them in writing. The client's own general terms and conditions are expressly rejected.
3. Proposals and formation of agreement
All proposals are non-binding and valid for 30 days from the date of issue, unless stated otherwise. An agreement is formed when the client accepts the proposal in writing, or when VINOVONK begins execution following verbal agreement.
Changes to the assignment after acceptance may result in adjustments to the fee and planning. VINOVONK will inform the client in advance.
4. Execution of the assignment
VINOVONK carries out assignments according to its own professional judgement. Deadlines are set in mutual consultation and represent best-effort obligations, unless explicitly agreed in writing as a firm deadline.
The client is responsible for providing required information, materials, and feedback in a timely manner. Delays caused by failure to do so are at the client's expense.
VINOVONK reserves the right to refuse or terminate an assignment if the requested content conflicts with its editorial independence or values.
5. Copyright and ownership
Copyright on all content created by VINOVONK -- including texts, articles, social media content, podcast copy, and other materials -- remains with Jeroen Vonk until the invoice has been paid in full.
Upon full payment, the client receives a usage licence for the agreed purpose and medium. Reuse for other purposes or platforms requires prior written consent and may incur additional fees.
VINOVONK retains the right to reference produced content in its portfolio, on its website, and on social media, unless the client requests otherwise in writing.
6. Payment
Invoices must be paid within 14 days of the invoice date, unless otherwise agreed in writing.
For assignments exceeding €500, VINOVONK may require a 50% deposit at the start of the assignment.
VINOVONK operates under the Dutch small business VAT exemption scheme (kleineondernemersregeling, KOR) and does not charge VAT. This is stated on every invoice.
In the event of late payment, the client is in default by operation of law. VINOVONK is entitled to charge statutory interest and collection costs. In the case of continued non-payment, VINOVONK reserves the right to suspend further work until payment has been received.
7. Cancellation and early termination
In the event of cancellation by the client, the following conditions apply:
- More than 14 days before commencement: no charge
- Between 7 and 14 days before commencement: 25% of the agreed fee
- Less than 7 days before commencement or after commencement: 50% of the agreed fee, plus costs already incurred
In the event of cancellation by VINOVONK, the client will receive a proportional refund of any fees already paid for work not yet carried out.
8. Liability
VINOVONK is not liable for damage arising from incorrect or incomplete information provided by the client, or from the use of delivered content in a manner other than agreed.
VINOVONK's liability is in all cases limited to the invoice amount of the relevant assignment.
VINOVONK is not liable for indirect damage, including loss of revenue, consequential damage, or reputational damage.
9. Confidentiality
Both parties treat confidential information received in the context of the assignment with due care. VINOVONK will not share confidential business information of the client with third parties without explicit consent.
10. Governing law and disputes
All agreements with VINOVONK are governed by Dutch law. Disputes are preferably resolved through mutual consultation. If this is not possible, the competent court in the district of Amsterdam has exclusive jurisdiction.
